Secretary (member of Board of Directors)

Description

The Secretary is responsible to:

  • take minutes of all meetings of the Board and the Members of the Society and enter these minutes in the Society’s minute book (minutes focus on decisions and actions and are prepared in a consistent format)
  • give notices when instructed to Members and Directors [and the Auditor if one is appointed]
  • serve as custodian of the official books, papers, records, documents and other instruments belonging to the Society
  • advise the Board Chair and Vice Chair on matters of procedure

Skills

Ability to take notes during meetings and then prepare minutes in electronic format. Attention to detail. Most meetings are recorded and recordings should be reviewed to ensure the minutes are accurate and include all decisions and actions agreed upon.

Nice to have

Experience with or willingness to learn meeting procedures in order to assist the Chair and Vice Chair in ensuring appropriate wording of motions, etc.  Home computer and internet access.  

Expectations

Minimum one year commitment, preferably longer. Attend annual general meeting in person and Board meetings online (or in person if the Chair determines that a meeting will be in person).  Temporary substitution by other Directors can be arranged. An estimated ten hours per month on average.
